Terms and Conditions

These Terms and Conditions ("Terms") are a legally binding agreement between you ("User," "you," or "your") and SOZA Ventures LLC, a limited liability company doing business as BreezySim ("we," "us," or "our"), operating breezysim.com. By accessing our website, purchasing an eSIM plan, or activating an eSIM, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

1. Acceptance of Terms

By purchasing, activating, or using any BreezySim product or service, you agree to these Terms. If you do not agree, you must not access or use our services. These Terms apply to all visitors, users, and customers of BreezySim. You also agree to our Privacy Policy and Cookie Policy, which are incorporated by reference.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under applicable law to use our services. By using BreezySim, you represent and warrant that you meet these requirements. We reserve the right to verify eligibility and to refuse service to anyone at any time, at our sole discretion.

3. Account Registration

Certain features or purchases may require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. If you suspect unauthorized access to your account, notify us immediately at breeze@breezysim.com.

4. eSIM Products and Plans

BreezySim offers electronic SIM (eSIM) data plans for compatible devices in 200+ countries. Each plan is defined by a data allotment, validity period, and coverage region as displayed at the time of purchase. Plans are non-transferable and may only be used on the device for which the eSIM profile was downloaded and activated.

BreezySim operates as a reseller of eSIM data services provided through third-party network carriers. The availability, speed, and quality of connectivity are subject to the terms and technical limitations of those underlying carrier networks, which are outside our direct control.

5. Orders, Payment, and Pricing

All prices are displayed in United States Dollars (USD) unless otherwise stated and are subject to change without notice prior to your purchase. Once an order is placed and confirmed, the price is locked. Payment is processed through secure, PCI-DSS-compliant third-party payment processors. By completing a purchase, you authorize us to charge the applicable amount to your designated payment method. All orders are subject to acceptance and confirmation by BreezySim.

You are responsible for all applicable taxes, duties, and charges associated with your purchase, except where we are required by law to collect and remit such taxes on your behalf.

6. Refunds and Cancellations

Due to the digital and immediately consumable nature of eSIM products, our refund policy is as follows:

• No refunds are available once an eSIM has been activated, or once the QR code or installation credentials have been revealed or accessed.
• Unused, unactivated eSIM plans may be eligible for a refund if the request is submitted within 7 calendar days of purchase, subject to verification and our sole discretion.
• Plans that have been partially consumed (any data used) are not eligible for refunds under any circumstances.
• Refund requests must be submitted to breeze@breezysim.com with your order reference number and reason for the request.
• BreezySim reserves the right to determine eligibility in all cases and to refuse refunds where abuse or fraud is suspected.

Nothing in this section limits any statutory rights you may have under applicable consumer protection law.

7. eSIM Activation and Device Compatibility

It is your sole responsibility to verify that your device is eSIM-compatible, network-unlocked, and supports the relevant network bands before completing a purchase. BreezySim provides general compatibility guidance as a convenience, but we do not guarantee compatibility with any specific device make, model, firmware version, or operating system release.

BreezySim is not liable for activation failures arising from: device incompatibility, carrier locks, manufacturer restrictions, incorrect installation by the user, loss of QR codes after delivery, or expired installation windows. Activation instructions are provided in your order confirmation. Each eSIM profile is typically single-use — reinstallation after deletion may not be possible.

8. Data Plans and Network Coverage

Data connectivity is provided on a best-efforts basis through our network carrier partners. Coverage, speed, and quality may vary by location, local network conditions, infrastructure availability, and regulatory requirements of each country. BreezySim makes no representation or guarantee of minimum speeds, uninterrupted service, or coverage in specific areas.

Compliance with all local laws and regulations applicable to your internet usage — including restrictions on specific websites, applications, or services in your location — is your sole responsibility. BreezySim is not liable for any service restrictions imposed by local governments or carriers.

9. Acceptable Use

You agree not to use BreezySim services to:

1. violate any applicable local, national, or international law or regulation;
2. transmit, distribute, or store content that is unlawful, harassing, defamatory, obscene, fraudulent, or that infringes any third-party intellectual property rights;
3. resell, sublicense, or commercially redistribute eSIM plans or access credentials without our express prior written authorization;
4. use automated tools, bots, or scripts to abuse, scrape, overload, or interfere with our systems or services;
5. attempt to gain unauthorized access to any system, network, user account, or data;
6. conduct any activity that could damage, disable, or impair the performance of our services or the experience of other users.

Violation of acceptable use policies may result in immediate suspension or termination of your service without refund. We reserve the right to report violations to appropriate law enforcement authorities.

10. Intellectual Property

All content on breezysim.com — including but not limited to trademarks, logos, graphics, text, software, and visual design — is owned by or licensed to SOZA Ventures LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use our website solely for your personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written consent.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREEZYSIM AND ALL ITS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOZA VENTURES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (I) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (II) ANY DATA, CONTENT, OR RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (III) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

No oral or written information or advice provided by BreezySim or its representatives shall create any warranty not expressly stated in these Terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOZA VENTURES LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS — ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) OUR SERVICES, EVEN IF SOZA VENTURES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNTS PAID BY YOU TO BREEZYSIM IN THE SIX (6) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) FIFTY UNITED STATES DOLLARS (USD $50.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages; in such jurisdictions, the above limitations will apply to the fullest extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless SOZA Ventures LLC and its members, managers, officers, employees, agents, and successors from and against any and all third-party claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with: (a) your access to or use of our services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your violation of any applicable law or regulation. This indemnification obligation will survive termination of your account or these Terms.

14. Third-Party Services

Our services integrate with or link to third-party services, including payment processors, network carriers, and analytics providers. BreezySim is not responsible for the availability, accuracy, legality, or content of any third-party service, and the inclusion of any link or integration does not imply endorsement. Your use of third-party services is governed solely by their respective terms and privacy policies. We encourage you to review those policies carefully.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of FLORIDA, United States of America, without regard to its conflict of laws principles. Subject to the arbitration provision below, you consent to the exclusive personal jurisdiction of the state and federal courts located in FLORIDA for any dispute not subject to arbitration under these Terms.

16. Dispute Resolution; Binding Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the BreezySim services, or any prior version of these Terms — including questions about the validity, enforceability, or scope of this arbitration agreement — shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. YOU AND BREEZYSIM EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator finds this waiver unenforceable for any claim, then the arbitration provision shall be inapplicable to that claim, which shall proceed in court subject to the jurisdiction provisions above.

Notwithstanding the foregoing: (a) either party may bring an individual action in small claims court for disputes within that court's jurisdiction; and (b) either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending completion of arbitration.

17. Changes to These Terms

We reserve the right to modify or update these Terms at any time. We will provide notice of material changes by updating the "Effective" date at the top of this page and, where appropriate, by sending a notice to the email address associated with your account or by displaying a prominent notice on our website. Your continued use of our services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

18. Termination

We reserve the right to suspend or terminate your access to BreezySim services at any time, with or without cause or notice, including for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution — shall survive.

19. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SOZA Ventures LLC regarding the subject matter herein, and supersede all prior or contemporaneous communications, proposals, or agreements.
